- Interfere with or disrupt the Site or the servers and networks that support it.
- Use the Site to transmit unsolicited or unauthorized advertising or commercial communications.

4.Job Orders, Inquiries, and Submitted Information
The Site allows you to submit job orders, inquiries, and other information through forms. Submitting a form does not create a binding service agreement and does not guarantee that we will provide any service. Any staffing or recruiting services we provide are governed by a separate written services agreement between Spinnaker and the client.
You agree that all information you submit through the Site is accurate and that you are authorized to submit it. We may use the business contact information you submit to respond to your inquiry and to provide our services, as described in our Privacy Policy.
5.Free Resources and Downloads
We make certain resources available for download, including the Construction and Manufacturing Hiring Playbook. These resources are provided for general informational purposes only. They do not constitute professional, legal, financial, or employment advice, and we make no guarantee of any specific result, outcome, or hiring metric from applying their guidance.
All resources are the intellectual property of Spinnaker. You may download and use them for your own internal business purposes only. You may not resell, republish, or redistribute them without our prior written permission. By requesting a resource, you consent to receive communications related to that resource and to our services, subject to our Privacy Policy and your right to opt out at any time.
6.Intellectual Property
All content on the Site, including text, graphics, logos, the Spinnaker name and compass mark, page design, downloadable resources, and the selection and arrangement of all of the foregoing, is owned by or licensed to Spinnaker and is protected by United States and international intellectual property laws.
We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for its intended purpose. No other right is granted. You may not reproduce, distribute, modify, publicly display, or create derivative works from any part of the Site without our prior written permission.
The Spinnaker name, the Spinnaker Solutions name, and the compass logo are trademarks of Spinnaker Solutions LLC and may not be used without our written permission.

7.No Employment or Agency Relationship
Use of the Site does not create an employment relationship, an agency relationship, a partnership, or a joint venture between you and Spinnaker. Content on the Site that describes roles, services, or processes is informational only and does not constitute an offer of employment or a guarantee of placement.
8.Disclaimer of Warranties
The Site and all content and resources are provided "as is" and "as available," without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Spinnaker disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.
Statistics and third-party data presented on the Site are believed accurate as of publication but are provided without warranty. We do not warrant that the Site will be secure or free of viruses or other harmful components.
9.Limitation of Liability
To the maximum extent permitted by law, Spinnaker and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including damages for lost profits, lost data, business interruption, or hiring outcomes, arising out of or related to your use of the Site, whether based in contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Site will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

12.Communications and Marketing
By submitting a form or requesting a resource, you consent to receive communications from us related to your inquiry and to our services. Marketing communications include an unsubscribe mechanism in every message, and we honor opt-out requests promptly. We comply with the CAN-SPAM Act in our commercial email. Service and transactional communications, such as a response to a job order, may continue after you opt out of marketing.

14.Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-law principles. You agree that any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts.
15.Severability and Waiver
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to enforce it later.
16.Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spinnaker regarding your use of the Site and supersede any prior agreements on that subject.
